1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Solvers website (solve.rs) and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use our Services.
2. Description of Services
Solvers provides growth engineering services, including but not limited to:
- SEO-first architecture and implementation
- Full-stack web development
- MVP development and product launches
- AI integration and automation
- Growth intelligence and analytics
- Technical consulting and advisory
3. User Responsibilities
When using our Services, you agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Comply with all applicable laws and regulations
- Not use the Services for any unlawful purpose
- Not attempt to interfere with or disrupt the Services
- Not infringe on the intellectual property rights of others
4. Service Engagement and Deliverables
4.1 Project Scope
All project engagements will be documented in a separate Statement of Work (SOW) or project agreement that outlines scope, deliverables, timeline, and pricing. The SOW is incorporated into these Terms by reference.
4.2 Client Responsibilities
Clients are responsible for:
- Providing timely feedback and approvals
- Supplying necessary materials, content, and access
- Ensuring availability of key stakeholders
- Meeting payment obligations as outlined in the SOW
4.3 Changes and Revisions
Changes to the project scope may result in additional time and costs. All scope changes must be documented and approved in writing by both parties.
5. Payment Terms
5.1 Pricing and Invoicing
Pricing and payment schedules are outlined in the project SOW. Invoices are typically issued according to project milestones or on a recurring basis for ongoing services.
5.2 Payment Due Date
Unless otherwise specified, payment is due within 15 days of invoice date. Late payments may be subject to interest charges and may result in suspension of services.
5.3 Refunds
Refund policies are project-specific and will be outlined in the SOW. Generally, work completed is non-refundable.
6. Intellectual Property Rights
6.1 Ownership of Deliverables
Upon full payment, the client owns the specific deliverables created for their project. Solvers retains ownership of pre-existing intellectual property, methodologies, tools, and frameworks.
6.2 Portfolio and Case Studies
Solvers may use completed projects as case studies and portfolio examples unless otherwise agreed in writing. Client identity and confidential information will be protected unless explicitly approved for disclosure.
6.3 Third-Party Components
Projects may incorporate third-party software, libraries, or services. Clients are responsible for complying with applicable licenses and terms of use for these components.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes:
- Business strategies and plans
- Technical specifications and source code
- Financial information
- Customer data and user information
- Any information marked as confidential
8. Warranties and Disclaimers
8.1 Service Warranty
We warrant that services will be performed in a professional manner consistent with industry standards. Any issues with deliverables must be reported within 30 days of delivery.
8.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE SPECIFIC RESULTS, RANKINGS, OR BUSINESS OUTCOMES.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability shall not exceed the amount paid by the client for the specific project
- We are not liable for indirect, incidental, or consequential damages
- We are not liable for business losses, lost profits, or loss of data
- Clients are responsible for maintaining backups of their data
10. Termination
10.1 Termination by Client
Clients may terminate services with 14 days written notice. Client remains responsible for payment for all work completed up to the termination date.
10.2 Termination by Solvers
We may terminate services immediately if the client breaches these Terms, fails to make payment, or engages in conduct that we deem inappropriate or harmful.
10.3 Effect of Termination
Upon termination, all outstanding invoices become immediately due. We will provide completed deliverables upon receipt of final payment.
11. Indemnification
Client agrees to indemnify and hold Solvers harmless from any claims, damages, or expenses arising from: (a) client's use of deliverables, (b) content provided by client, (c) violation of these Terms, or (d) infringement of third-party rights.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of Serbia. Any disputes will first be addressed through good faith negotiation. If unresolved, disputes may be submitted to mediation or arbitration before resorting to litigation.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised date. Continued use of Services after changes constitutes acceptance of the modified Terms.
14. General Provisions
Entire Agreement: These Terms, together with any SOW, constitute the entire agreement between parties.
Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
Assignment: These Terms may not be assigned without written consent.
